Client Compliance Undertaking

Service Operator:

This Client Compliance Undertaking ("Undertaking") is accepted by the Client as a mandatory condition to access LeadFlow services and receive Deliverables.

1. B2B ONLY

Client will use Deliverables strictly for professional B2B purposes. Client will not use Deliverables for B2C/consumer marketing or consumer profiling.

2. CLIENT IS THE CONTROLLER FOR OUTREACH AND DOWNSTREAM USE

Client confirms it acts as an independent data controller for any storage, use, and communications performed after receiving Deliverables.

3. LAWFUL BASIS & NOTICES (CLIENT'S DUTY)

Client confirms it has and will maintain a valid lawful basis for processing and contacting individuals and will provide all required notices, including GDPR Article 14 notices where applicable.

4. ANTI-SPAM / EPRIVACY COMPLIANCE

Client will comply with all applicable direct marketing and electronic communications laws (including ePrivacy/PECR/CAN-SPAM/CASL or equivalents), including:

• clear sender identification,
• truthful subject lines and content,
• a functional opt-out/unsubscribe mechanism,
• prompt honoring of opt-outs and do-not-contact requests.

5. NO RESALE / NO BROKERING

Client will not resell, sublicense, publish, distribute, or provide Deliverables to any third party (including affiliates) without prior written consent of KSTUDIO SIA.

6. PROHIBITED USES

Client will not use Deliverables for illegal products/services, phishing, malware, fraud, harassment, discrimination, or harmful conduct.

7. NO REPRESENTATION OF OPERATOR AS SENDER

Client will not represent KSTUDIO SIA / LeadFlow.lv as the sender of any outreach communications and will not imply endorsement by KSTUDIO SIA / LeadFlow.lv.

8. INDEMNITY

To the maximum extent permitted by law, Client will indemnify and hold harmless KSTUDIO SIA from claims, investigations, fines, penalties, losses, and reasonable legal fees arising from Client's outreach activities or Client's downstream processing of Deliverables.

9. ACCEPTANCE

The person accepting this Undertaking confirms they are acting in their individual capacity for professional B2B purposes.
